Terms of Use

These Terms are an agreement between you and Educo International, Inc. (Hereafter 'We', 'Us'', 'Our'; as appropriate).

Acceptance:

This Terms of Service Agreement (these "Terms of Service") states the terms and conditions under which you use and access our products and services, including EducoLearningCenter.com, online courses, membership subscriptions through any websites, mobile sites, mobile apps, or other properties owned and operated by Educo International Inc. ("ELC", "we", "us" and "our") (collectively, the "Site").

By using the Products Services, you represent and warrant that you are of legal age to form a binding contract with us and meet the initial eligibility requirements. Using the site allows you to accept a benefit that cannot be disgorged.

BY ACCESSING OR USING THE SITE AND THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE, WHICH INCLUDES THE USE OF ARBITRATION TO RESOLVE DISPUTES BETWEEN YOU AND US. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS OF SERVICE, PLEASE DO NOT ACCESS OR USE THE SITE.

Since the Products and Services can be subscribed only by individuals rat least 18 years old, you represent and warrant that you are at least 18 years old and take full responsibility for the selection and use of the Products. These Terms are void where prohibited by law, and the right to access the Services is revoked in such jurisdictions.

You are solely responsible for your interactions with other Users. We reserve the right, but have no obligation, to monitor disputes between you and other Users. We shall have no liability for your interactions with other Users, nor for any User's acts or omissions.

Your Access to the Site

You are not permitted to borrow, use or reuse any User Account already created for another individual. Additional information may be required to confirm your identity. Provision of the required information is a condition of your use of the Services and participation in our membership. You represent and warrant that all the information you provide on the site is correct, current, and complete and does not impersonate any third party.

You acknowledge that your account is personal to you and agree not to provide any other person with access to any part of the site using your username, password, or other security information.

Your Content, Rights, and Responsibilities:

We may provide you with the ability to post certain content, information, text, chat, referral, materials, or interactions and communications with our experts or coaches through the Site and Services ("User Content").

• You are responsible for the content you post to the ELC platform and any consequences thereof.
• Other Users of the Products may view the content you submit, post, or display. You retain your rights to any Content you submit, post, or display on or through the Products.
• By submitting, posting, or displaying content on or through ELC, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, copy, reproduce, process, adapt, modify, publish, and transmit.
• You represent and warrant that you have all the rights, power, and authority necessary to grant the rights granted herein to any content you submit.

Acceptable use of the Products:

• When you become a paid subscriber to our Products and Services, we give you a personal, worldwide, royalty-free, non-assignable, and non-exclusive license to use the Products, subject to the subscription plan and these Terms of use entered into by you relating to the Products, solely for the intended use of the Products.
• You must not copy, modify, distribute, sell, or lease any part nor reverse engineer our Products.
• You must not copy, reproduce, modify, create derivative works from, distribute or publicly display the Products and any ELC Content, except to the extent permitted by law or with the prior written consent of ELC.
• You shall not access or use the Service or our Content in any commercial or competitivecapacity or to build any collection or database of content or services. Content covered by these restrictions includes, without limitation, any text, graphics, layout, interfaces, logos, photographs, audio, and video material and stills.
• You will not use any robot, spider, crawler, scraper, or other automated means or interface to access the Services or extract any content or other information.
• You must not upload, publish or post false, inaccurate, misleading, defamatory or offensive content. Your content will not infringe or violate any third-party intellectual property rights, laws, or regulations.
• You must not distribute or post spam, unsolicited, or bulk electronic communications, chain letters, or any other technologies that may harm ELC LMS or any of the Services.
• You must not misuse the Products by knowingly introducing viruses, Trojans, worms, logic bombs, or other material which would harm the Products or any User of the Product's devices.
• You must not use the Products in any manner that could damage, disable, overburden, or impair the Products and Services or any network or other infrastructure used by or connected to ELC.
• You must not impersonate any person, misrepresent your identity or affiliation with any person or give the impression they are linked to ELC.
• You agree and consent to ELC collecting, using, and disclosing information in accordance with our Privacy Policy. You acknowledge that submitting any information, statements, data, and content to us is voluntary on your part and that ELC may process such information within the terms of the Privacy Policy.
• We may not monitor or control the content posted by you via ELC Products, and we do not take responsibility for such content.
• We reserve the right to remove content alleged infringing without prior notice, at our sole discretion, and without liability to you.

ELC Content:

You agree that all ELC content and materials delivered via the Products or otherwise made available by ELC (collectively, "Our Content") are protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws. Use of Our Content for any purpose not expressly permitted in these Terms is prohibited. ELC reserves any rights not expressly granted in these Terms.

Changes to the Terms of Use:

We may amend these Terms from time to time by posting an amended version in the Services and on our website; the amended versions will become effective immediately upon posting.

Changes to Products and Services:

ELC Products and Services are always evolving and constantly innovating to provide our users with the best possible digital learning experience. We may, without prior notice, change our Products; permanently or temporarily terminate or suspend or limit your access to any Product without notice or liability for any reason. You acknowledge and agree that the form and nature of the Products and functionality may change from time to time without notice.

Billing

Billing Cycle. The subscription fee for the Services will be billed at the beginning of the paying portion of your subscription and each month or year thereafter ("Billing Cycle") depending on your selected billing terms unless and until you cancel your membership.

Recurring Billing. By starting your subscription, you authorize us to charge you a monthly or annual membership fee depending on your Billing Cycle at the current rate and any other charges you may incur with your use of the Services to your Payment Method.

Price Changes. We reserve the right to adjust pricing for any part of the Services in any manner and at any time as we may determine in our sole and absolute discretion.

Refunds and cancellations: We offer a 7-day no-hassle money-back guarantee for the subscription with access to our extensive high-quality digital course materials and technology support. Once you purchase or renew a Subscription plan and make the required payment, it shall be final, and there cannot be any changes or modifications to the same, and neither will there be any refund of the fee already paid for the same, except as specified in this Refund Policy. You may cancel your subscription by writing to us at support@ELC.com as stated hereinbelow. Only if your cancellation request is made within 1 (one) week from the date of purchase of your subscription you will be entitled to a full refund of the Subscription fee ("Refund Period"). For month-to-month Subscriptions, cancellation is allowed anytime during 1 st seven days of the new monthly billing cycle ("Refund Period"). However, any cancellation requests received post the Refund Period shall not entitle you to refund the Subscription fee; in other words, your subscription will continue until the end of its billing cycle, and there shall be no refund of the Subscription fee already paid for the same. When you cancel your Subscription, ELC may disable access to features available only to its paid Users, while your account may continue to exist on the Platform.

Limitation of Liability:

IN NO EVENT SHALL ELC, ITS DIRECTORS, EMPLOYEES, AGENTS, VENDORS OR SUPPLIERS BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL THEORY WITH RESPECT TO THE SERVICES (OR ANY CONTENT OR INFORMATION AVAILABLE THROUGH THE SERVICES):

1. FOR ANY LOST PROFITS OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, EVEN IF FORESEEABLE,
2. FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE (REGARDLESS OF THE SOURCE OF ORIGINATION)
3. FOR ANY ERRORS OR OMISSIONS IN ANY CONTENT OR INFORMATION OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT OR INFORMATION POSTED, E-MAILED, TRANSMITTED OR OTHERWISE MADE AVAILABLE AT OR THROUGH THE SERVICES, OR
4. FOR ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) US$2000.00. THE FOREGOING LIMITATIONS SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

Termination by Us:

We may temporarily or permanently suspend or terminate your accounts or cease to provide you with all or part of the Products at any time for any reason, including, but not limited to, if we reasonably believe:

1. you have violated these Terms,
2. you create a risk for us; or
3. our provision of the Products is no longer commercially viable.

Effect of Termination:

Upon termination, we shall have no obligation to retain any of Your Content. You are solely responsible for exporting Your Content from the Services before the termination of the Services you receive.

Export Controls:

You agree not to import, export, re-export, or transfer, directly or indirectly, any part of the Products or any information provided on or through the Products except in full compliance with all United States, foreign, and other applicable laws and regulations.

Location:

ELC may subcontract any of the work to be performed hereunder and will perform work remotely from various offices or any location suitable for the Company and its employees and/or sub-contractors.

Mobile App

To use our Products via ELC Mobile App you must have a mobile device and installed applications that are compatible with the Mobile App. ELC does not warrant the mobile app's compatibility with your mobile device. You may use mobile data in connection with the Mobile App and may incur additional charges from your wireless provider for these services. ELC is not responsible for these data usage charges. Also, your use of the App Store-Sourced Software must comply with the App Store Terms of Service.

Indemnity

You agree to defend, indemnify and hold harmless ELC and its employees and officers, and other affiliated companies, and their employees and officers, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

1. Your use of and access to a Product, including any data or content transmitted or received by you;
2. your violation of any provision of these Terms, including without limitation your breach of any of the representations and warranties above;
3. your violation of any third-party right, including without limitation any right of privacy or intellectual property rights;
4. your violation of any applicable law, rule, or regulation;
5. any Content that is submitted via your User Account, including without limitation misleading, false, or inaccurate information;
6. your willful misconduct; or
7. any other party's access and use of a Product with your unique username, password, or other appropriate security code.

Entire agreement

These Terms and our Privacy Policy are the entire and exclusive agreement between ELC and you regarding the Products. These Terms supersede and replace any prior agreements between Educo International, Inc and you regarding the Products.
